As part of BRI’s introductory sessions, this discussion will focus on providing executives with an overview of fundamental "must know" about corporate board service on a public or large private board. They would also discuss and take questions from members on the trending topics in the horizon for participants to prepare to navigate.

Joint Session: Corporate Governance in an Increasingly Decentralized World
AI, Cybersecurity, Blockchain, and WFH environments can have immense benefits. There are also risks. The world is becoming more decentralized and with it comes more pros (autonomy, flexibility, etc.) and more cons (business uncertainty, hackers, etc.). This session will discuss the role of corporate governance within a decentralized world, potential upside of decentralized governance and potential pitfalls that leaders need to keep in mind when making decisions in the midst of uncertainty.
Trending Dynamics in the Modern Boardroom
Featured panelists will lay out and discuss the new landscape of corporate governance and the increasing pressures from unprecedented challenges.
Building Your Toolkit: Refining and Communicating Your Value Proposition with Peer Exercise
This session forms the basis for the BRI curriculum series for LCDA Members. Participants will learn about the importance of developing a board profile (resume and bio) that communicates the value proposition they bring to a board. Developing their elevator pitch and refining it to tell their story is also key to making the case for why their value proposition is an asset to the boardroom. Peer Exercise will follow.

Joint Session: Navigating the Boardroom as a First-Time Director
Learning how to be an effective director is both an art and a science. It takes great analytical skills (science) and board room diplomacy (art). The science is typically refined over many years of career experience but the art isn’t so clearly laid out to directors. Experienced Directors will provide an overview of the hard skills needed to succeed as a director (private or public board) and concrete advice on the soft skills needed to be an effective director from decorum, how to show-up, and when to show your Latinidad.

Joint Session: Learning from the Activist Investor Playbook
Corporate governance experts will explore navigating investor activism. What do directors need to do to avoid having their companies be the target of activist investors? And, if they are a target, how do they build a game plan that is in the best interest of the company and shareholders? How are boards successfully dealing with activist approaches, including proxy contests? Today, the activism landscape is changing and while board diversity is often a part of the discussion, it may be the most important.
Mock Board Meetings: A Case Study on the Activist Investor
Corporate governance experts and scholars will facilitate a case study with LCDA executives. Session will explore what having an activist investor in a boardroom looks like, what it means for the board and what directors should do about it.
